Authorised on 15 August 1853. Due to opposition, the company had to reduce its aims to a 3.5 mile line between Paddington and Farringdon. It was substantially subscribed by the Great Western Railway and the City Corporation, and was re-incorporated on 7 August 1854, dropping the word 'North' from its name.
